Terms of Service (Splošni pogoji)

1. General provisions

These Terms of Service (the «Terms») govern the use of the online service Content Factory available at cut.inventa.solutions (the «Service»), provided by:

By creating an account on cut.inventa.solutions and/or using the Service, the user (the «User») accepts these Terms in full.

These Terms are governed by Slovenian law, in particular the Consumer Protection Act (ZVPot-1), the Electronic Commerce in the Market Act (ZEPT), and where applicable the GDPR (Regulation (EU) 2016/679).

2. Subject matter

The Provider grants the User access to Content Factory — an online AI service that automatically processes video recordings and generates short viral clips.

The Service includes: video upload, automatic transcription, AI analysis to detect viral moments, automated clip cutting, animated subtitle overlay, and AI-generated cover images.

3. How the Service works

3.1. The User registers on cut.inventa.solutions and verifies the email address.

3.2. At this stage the Service is provided free of charge. The online payment system is temporarily unavailable and will be enabled later.

3.3. The User uploads a video file through the Service interface.

3.4. The system automatically transcribes the audio and analyses the text with AI. Analysis is free of charge.

3.5. The User selects the number of clips, subtitle style and font size.

3.6. Tokens are debited from the User's balance for the selected number of clips (3 tokens per clip).

3.7. The system automatically renders the clips with subtitles.

3.8. The User may generate a cover image for each clip (2 tokens per cover).

3.9. Finished clips and covers are available for preview and download in the User's account.

4. Price and payment

At this stage the Service is provided free of charge. The online payment system is temporarily unavailable. The administration may grant tokens manually for testing purposes.

Token consumption:

• Video upload and AI analysis — free
• Clip rendering with subtitles — 3 tokens per clip
• AI cover generation — 2 tokens per cover

Indicative token packages (will become available when payments are re-enabled):

The Provider is not registered for VAT under Article 94(1) of the Slovenian VAT Act (ZDDV-1): «DDV ni obračunan na podlagi 1. odstavka 94. člena ZDDV-1».

The Provider may change the price of token packages with prior notice to users. Tokens already purchased retain their value.

5. Right of withdrawal (14 days — ZVPot-1)

In accordance with the Slovenian Consumer Protection Act (ZVPot-1), the consumer has the right to withdraw from a distance contract within 14 days of conclusion of the contract, without giving any reason.

To exercise the right of withdrawal, the User must send a clear statement to media4estate@gmail.com. The Provider will refund the amount paid within 14 days of receiving the withdrawal notice, using the same means of payment.

Exception — digital content and fully performed services (Art. 135 ZVPot-1). The right of withdrawal does NOT apply once the User has consented to the immediate execution of the digital service and acknowledged the loss of the right of withdrawal. Token consumption (clip rendering, cover generation) constitutes immediate execution of a digital service. Therefore, after the User confirms a render/generation action, no withdrawal or refund is available for consumed tokens.

Unconsumed tokens remaining on the User's balance after the 14-day period can be refunded under the conditions described in the Refund Policy.

6. Rights and obligations

6.1. The Provider undertakes to provide the Service in accordance with these Terms.

6.2. The User undertakes to use the Service in accordance with applicable law and to respect the rights of third parties.

6.3. The User is solely responsible for the content uploaded.

6.4. The User warrants that they hold all rights necessary to upload, transcribe and modify the video recordings and that all persons appearing in the recordings have consented to such processing.

7. Intellectual property

7.1. All rights in the original uploaded videos remain with the User.

7.2. Generated clips and covers are derivative works based on the User's content. The User obtains full rights to use the generated clips and covers, including publication on social media.

7.3. The Provider does NOT use the User's content to train AI models or for any purpose unrelated to providing the Service.

8. Liability

The Provider is not liable for the quality of the output if the User supplied unsuitable input material (videos with poor audio, low resolution, etc.). The Service is provided «as is».

The Provider is not liable for temporary unavailability of the Service due to maintenance or force majeure.

Nothing in these Terms limits the consumer's mandatory rights under ZVPot-1, the GDPR or other applicable Slovenian and EU law.

9. Privacy

Processing of personal data is governed by the Privacy Policy. The Provider undertakes not to disclose uploaded video content or generated clips to third parties, except subprocessors necessary to provide the Service.

10. Out-of-court dispute resolution (ZIsRPS)

In accordance with the Slovenian Out-of-Court Resolution of Consumer Disputes Act (ZIsRPS), the Provider does not recognise any out-of-court consumer dispute resolution body as competent for resolving consumer disputes arising from these Terms.

Consumers may always contact the Provider directly at media4estate@gmail.com, or refer the dispute to the competent Slovenian court.

Note: The EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr) was discontinued on 20 July 2025 following Regulation (EU) 2024/3228 repealing Regulation (EU) No 524/2013, so no link to it is provided.

11. Refunds

Refund conditions are set out in the Refund Policy.

12. Duration and termination

These Terms enter into force upon acceptance and remain in force for an indefinite period. Either party may terminate the contract by giving notice via email. Upon termination, unconsumed tokens are refunded under the Refund Policy.
